Billionaire Patrice Motsepe’s African Rainbow Minerals (ARM) is facing a legal dispute with Assore over the management of Assmang, a mining company jointly owned by the two South African groups.

In a statement published through the Johannesburg Stock Exchange’s Stock Exchange News Service (SENS) on October 13, ARM said Assore had initiated legal proceedings against it and Assmang, among others, in a dispute involving its contractual rights to appoint senior executives and manage Assmang’s operations.
ARM has a market capitalisation of approximately R30.85 billion, equivalent to about $1.87 billion at an exchange rate of roughly R16.49 to the dollar. Motsepe founded the mining group and remains its non-executive chairman after stepping down as executive chairman in February 2026.
Assmang is a 50:50 joint venture between ARM and Assore, with interests in iron ore and manganese. Its operations include the Khumani iron ore mine and the Nchwaning and Gloria manganese mines in South Africa’s Northern Cape province.
ARM plans counter-proceedings against Assore
ARM said the dispute also concerns information and records it requires from Assore to ensure Assmang meets its legal and regulatory obligations. The company said it intends to defend itself against the claims and initiate its own legal proceedings against Assore.
“Based on legal advice received, ARM believes that Assore’s claims and allegations have no substantive merit,” the company said in its statement.
Despite the dispute, ARM said it would continue managing Assmang in accordance with its contractual rights and obligations. Representatives of both companies are also continuing discussions on the mining business.
The legal proceedings do not concern Assmang’s final dividend for the financial year ended June 30, 2026. ARM said the two shareholders are still discussing the timing and amount of the dividend payment.
ARM also disclosed that cash and cash equivalents at Assmang attributable to its 50% interest amounted to R3.9 billion, or approximately $236 million, as of June 30, 2026.
The dispute puts the management of a major shared mining business under scrutiny, although ARM has said it will continue overseeing operations while the legal proceedings unfold.
